  1. Introduction. Welcome to Vernovis, Ltd. (“Vernovis”, “we”, “our”, “us”).  These Terms of Service (“Terms”) govern use of our text messaging feature (“Feature”) that allows you to receive updates, alerts, and other information from us via SMS or MMS messages and any related services provided by Vernovis, Ltd. (“Services”). By opting into or using our Feature, you agree to comply with and be bound by these Terms.
  2. Eligibility. You must be at least 18 years old to use our Feature. By using our Feature, you represent and warrant that you meet this age requirement, that you have the authority and consent to provide your mobile phone number to us, and that you are not barred from using our Services under any applicable laws.
  3. Use of Feature. You agree to use our Feature only for lawful purposes and in accordance with these Terms.  You are prohibited from, including but not limited to:
  • Using our Feature in any way that violates applicable federal, state, local, or international law or regulation, including but not limited to laws regarding privacy, data protection, and intellectual property.
  • Engaging in any conduct that interferes with or disrupts the operation or security of our Feature, or that harms or harasses us, our service providers, or other users of our Feature, including but not limited to distributing viruses, malware, or other harmful code.
  • Attempting to gain unauthorized access to our Feature or any data or information stored or transmitted through our Feature.
  • Sending or forwarding any spam, unsolicited, or fraudulent messages through our Feature.
  • Impersonating or misrepresenting your affiliation with any person or entity through our Feature.
  • Infringing or violating the intellectual property, privacy, or other rights of any third party through our Feature.
  1. Text Messaging Services.

4.1 Program Description. We offer a mobile messaging program (TextUs) which you agree to use and participate in subject to these Terms.  By opting into or participating in our Program, you accept and agree to receive text messages from us at the phone number you provide.  The frequency of messages will vary based on your interactions with us and the preferences you set in your account settings.  You are responsible for ensuring that the phone number you provide is accurate and up-to-date.

4.2 User Opt-In. By providing your mobile phone number and checking the box to opt in, you are voluntarily subscribing to receive text messages from us.  You may also opt in by texting “JOIN” or a similar keyword to [614-414-3096]. You may change your opt-in status at any time by updating your account settings or contacting us.

4.3 User Opt-Out. You may opt out of receiving text messages from us at any time by texting “STOP” to [614-414-3096].  After texting “STOP,” you will receive a confirmation message, and no further messages will be sent to your device unless you opt in again.  You may also opt out by updating your account settings or contacting us. If you need assistance, text “HELP” to [614-414-3096] or contact our customer support at [info@vernovis.com].

4.4 Message and Data Rates. Message and data rates may apply for any messages sent to you from us and to us from you.  If you have questions about your text or data plan, please contact your wireless provider.

4.5 Supported Carriers. Our text messaging services are available on various carriers, including but not limited to AT&T, Verizon, T-Mobile, and Sprint.  Carriers are not liable for delayed or undelivered messages.

  1. 10DLC Compliance

5.1 Registration. In compliance with carrier requirements, we have registered our 10-digit long code (10DLC) numbers with The Campaign Registry (TCR).  This registration helps ensure the trustworthiness and reliability of our messaging campaigns.  TCR is responsible for verifying the legitimacy of messaging campaigns and ensuring compliance with carrier regulations.

5.2 Consent. By providing your phone number and opting into our Program, you consent to receive text messages from us in accordance with these Terms and our Privacy Policy.  You also acknowledge and agree that your phone number may be shared with TCR and our service providers for the purposes of verifying your consent, delivering our messages, and complying with carrier rules and regulations.

  1. Intellectual Property. All content, trademarks, service marks, and logos associated with our Feature are the property of Vernovis or its licensors and are protected by copyright, trademark, and other intellectual property laws.  You may not use, reproduce, distribute, or create derivative works from any content without our express written permission.  You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Feature for personal, non-commercial purposes.
  2. Limitation of Liability. To the fullest extent permitted by law, Vernovis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from, including but not limited to:
  • Your use or inability to use our Feature.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from our Feature.
  • Any errors or omissions in any content or information provided by us or our service providers through our Feature.
  • Any acts or omissions of any third parties, including but not limited to wireless carriers, TCR, or other service providers, in connection with our Feature.
  1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.  Any disputes arising out of or relating to these Terms or your use of our Feature shall be resolved through binding arbitration in Ohio, except that you may assert claims in small claims court if your claims qualify.
  2. Changes to Terms. We reserve the right to modify these Terms at any time.  Any changes will be effective immediately upon posting on our website or sending you a notification.  Your continued use of our Feature after any such changes constitutes your acceptance of the new Terms.  We encourage you to review these Terms periodically to stay informed about any updates.
